Driver Agreement
Important. This is a binding contract. By accepting this agreement, you confirm that you are an independent contractor, not an employee of RideWave or RMRS LLC. You are responsible for your own taxes, insurance, and vehicle. This Agreement contains a binding arbitration clause and a class-action waiver (Section 15).

The Parties
This Driver Agreement ("Agreement") is between you (the "Driver") and RMRS LLC doing business as RideWave, a Colorado limited liability company holding Colorado PUC #06760.
This Agreement governs your use of the RideWave platform to provide transportation services to riders. It is in addition to the public Terms of Service and Privacy Policy.
Independent Contractor Status
You and RideWave agree that you are an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between you and RideWave. Specifically:
- You control when, where, and how often you use the RideWave platform;
- You may accept or decline any ride request without penalty (subject to acceptance-rate thresholds for active drivers);
- You provide your own vehicle, fuel, maintenance, and equipment;
- You are not entitled to employee benefits — including but not limited to health insurance, paid leave, retirement contributions, or unemployment insurance — from RideWave;
- You are responsible for paying all federal, state, and local income taxes, self-employment taxes, and any other taxes on your earnings;
- You may use other ride-hailing platforms simultaneously and provide transportation services outside RideWave;
- You will receive an IRS Form 1099-NEC or 1099-K reporting your annual earnings, as applicable.
Eligibility & Documentation
To use the RideWave platform as a Driver, you must:
- Be at least 21 years old;
- Hold a valid Colorado driver's license that has been issued for at least one year;
- Be authorized to work in the United States;
- Maintain personal automobile insurance meeting the minimum requirements for Transportation Network Companies (TNCs) under Colorado law;
- Provide current vehicle registration in your name or a name authorizing you to operate the vehicle commercially;
- Submit any additional documentation requested by RideWave or required by Colorado PUC.
You must keep all documentation current. Expired or invalid documents will result in immediate suspension from the platform.
Background & Driving Record
By submitting a Driver application, you authorize RideWave to obtain (now and periodically thereafter):
- A criminal background check;
- A motor vehicle record (MVR) review;
- Verification of your driver's license and insurance.
You will be ineligible if your background check or driving record reflects, within the preceding seven years (or as otherwise required by Colorado law):
- A felony conviction;
- A conviction for driving under the influence of alcohol or drugs;
- A conviction for a violent or sexual crime;
- A conviction for fraud, theft, or property damage;
- Three or more moving violations within the prior three years;
- Any conviction involving the use of a motor vehicle to facilitate a crime.
Vehicle Standards
Vehicles used on the RideWave platform must:
- Be no more than 15 model years old (or as otherwise required by Colorado PUC for the applicable tier);
- Have four doors and seat at least four passengers (additional capacity required for XL and Black SUV tiers);
- Have working seat belts for every passenger position;
- Have a current Colorado registration and license plate;
- Have passed any vehicle inspection required under Colorado TNC rules;
- Be free of major cosmetic damage, mechanical defects, or interior soiling;
- Not be a salvage, rebuilt, or branded-title vehicle (except as approved in writing).
RideWave reserves the right to inspect any vehicle and to remove a Driver from the platform if the vehicle does not meet these standards.
Insurance Requirements
Personal coverage
You must maintain a personal automobile insurance policy that meets or exceeds Colorado's minimum requirements for liability coverage at all times you are driving.
TNC insurance periods
Under Colorado TNC law, three insurance periods apply:
- Period 1 — App on, no ride accepted. Your personal policy and Colorado TNC contingent coverage apply per state law.
- Period 2 — Ride accepted, en route to pickup. Higher TNC coverage applies.
- Period 3 — Rider in vehicle. Highest TNC coverage applies.
Driver responsibility
You are solely responsible for understanding the coverage on your personal policy during Period 1. Many personal policies exclude rideshare activity. You are strongly encouraged to purchase a rideshare endorsement from your insurer or to obtain commercial coverage.
Disclosure. RideWave does not provide your personal auto insurance. Failure to maintain proper coverage during Period 1 may leave you personally responsible for any damages, injuries, or liabilities incurred during that period.
Service Standards
While providing rides through RideWave, you agree to:
- Treat every rider with courtesy, professionalism, and respect;
- Maintain a clean vehicle interior and exterior;
- Be appropriately dressed (no offensive clothing; business casual or better for Wave Black tiers);
- Take the most efficient route, using GPS navigation, unless the rider requests otherwise;
- Not smoke, vape, or consume food or beverages in the vehicle while a rider is present;
- Not play loud, profane, or politically charged audio without rider request;
- Maintain a minimum 4.5-star rating. Drivers below this threshold may be suspended.
Safety Rules
You agree to never:
- Operate a vehicle while under the influence of alcohol, illegal drugs, or any substance that impairs driving ability;
- Carry firearms in the vehicle while providing rides, except as expressly permitted by Colorado law and disclosed in advance;
- Use a hand-held mobile device while driving (hands-free GPS only);
- Exceed posted speed limits or violate traffic laws;
- Pick up street hails not arranged through the RideWave app;
- Take riders against their will or to locations other than the requested destination;
- Engage in road rage, intimidation, or any act of violence.
Violation of any safety rule may result in immediate, permanent removal from the platform and reporting to law enforcement.
Anti-Discrimination & Service Animals
You may not refuse, cancel, or delay a ride based on a rider's race, color, religion, national origin, ancestry, sex, gender identity, sexual orientation, age, marital status, military or veteran status, disability, source of income, or any other protected class under federal or Colorado law.
You must accept service animals as required by the Americans with Disabilities Act (ADA), regardless of personal allergies or preferences. Pet allergies are not a permissible basis for refusing a service animal.
Compensation, Fees, Taxes
Earnings
You are paid directly by the rider at the end of each ride. Riders pay you in cash or by card via your own payment terminal. RideWave does not collect, hold, or process rider payments on your behalf. You are the merchant of record for all rides you provide.
RideWave service fee
You owe RideWave a service fee on each ride. The amount, manner of calculation, and billing schedule are set by RideWave and communicated to you separately. RideWave will invoice you periodically for service fees owed. Failure to pay invoiced service fees within the stated period is grounds for suspension or termination from the platform.
Tips
Tips are paid directly to you by the rider. RideWave does not take any portion of rider tips.
Taxes
You are solely responsible for all federal, state, and local taxes on your ride earnings, including self-employment tax. Because RideWave does not collect or pay you rider funds, RideWave does not issue any tax forms (1099-NEC, 1099-K, or otherwise) to you for ride earnings. You report your gross ride income (cash plus card via your own terminal) directly to the IRS. Service fees you pay to RideWave may be deductible as a business expense — consult a tax professional regarding your reporting obligations. If you accept card payments via a third-party processor (Square, Stripe, etc.), that processor may issue you a 1099-K independently.
Payment Acceptance
Riders pay you directly at the end of each ride. You may accept cash and/or card payments. When accepting payment:
- You collect the full fare from the rider;
- You are responsible for making change on cash payments;
- You assume the risk of theft, loss, counterfeit currency, and chargebacks on card payments;
- You set up and maintain your own payment terminal (Square, Stripe Tap to Pay, or similar) for card acceptance, at your own cost;
- You must issue a receipt to the rider through the RideWave app at the end of the ride.
RideWave service fees you owe to RideWave are billed to you separately and are due on the schedule set in your invoice — regardless of whether the rider has paid you for any specific ride.
Confidentiality
Rider names, phone numbers, addresses, ride history, ratings, and any other information you obtain about riders through the platform are confidential. You may use this information only to provide the requested ride.
You may not contact riders outside the app for non-ride-related purposes; share rider information with third parties; record audio or video of rides without consent; or post photos, video, or commentary about identifiable riders to social media.
Violation of confidentiality is grounds for immediate termination from the platform and may expose you to civil liability.
Account Suspension & Termination
RideWave may suspend or terminate your account at any time, with or without notice, for any reason, including:
- Violation of this Agreement, the Terms of Service, or applicable law;
- Failure to maintain valid license, insurance, or vehicle registration;
- Falling below required ratings or completion thresholds;
- Any act of fraud, misrepresentation, or unsafe driving;
- Threats, harassment, assault, or discrimination toward riders or staff;
- Failure to remit cash service fees owed to RideWave;
- Adverse changes in your background or driving record.
You may stop driving at any time and may close your driver account by contacting support.
Liability Limit & Indemnification
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDEWAVE AND RMRS LLC SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST EARNINGS, ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL COMPENSATION PAID TO YOU BY RIDEWAVE IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless RideWave, RMRS LLC, and their members, officers, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your operation of a motor vehicle while using the platform;
- Your acts or omissions toward riders, third parties, or property;
- Your violation of this Agreement or any applicable law;
- Your misclassification of yourself as an employee for any purpose;
- Any tax obligation arising from your earnings.
Disputes & Arbitration
This Agreement is governed by the laws of the State of Colorado.
Mandatory arbitration. Any dispute, claim, or controversy arising out of or relating to this Agreement, your relationship with RideWave, or the termination of that relationship — including disputes about your classification as an independent contractor — shall be resolved by final, binding arbitration administered by JAMS in Denver, Colorado, under its Employment Arbitration Rules & Procedures, as modified by Colorado law.
Class-action waiver. You and RideWave each waive any right to bring or participate in any class, collective, or representative action. Disputes must be resolved on an individual basis.
Opt-out. You may opt out of this arbitration agreement by sending written notice to rsrs@blackcarservice4u.com within 30 days of first accepting this Agreement. Opting out will not affect any other provision.
Acknowledgment
By electronically accepting this Agreement (whether by clicking "I Agree," scrolling through and consenting in-app, or otherwise indicating acceptance), you confirm that:
- You have read, understood, and agree to be bound by this Agreement;
- You have read, understood, and agree to the Terms of Service and Privacy Policy;
- You are an independent contractor, not an employee of RideWave or RMRS LLC;
- You will maintain valid license, insurance, and vehicle registration at all times while driving;
- You are at least 21 years old and authorized to enter binding contracts in Colorado;
- You authorize RideWave to conduct background checks and motor vehicle record reviews.
This Agreement remains in effect for as long as you use the RideWave platform as a Driver. Material updates will be communicated to you, and continued use of the platform after the effective date constitutes acceptance.
